Background: Establishment and Regulatory Milestones

According to Мінфін — Крипто/Фінанси: On November 4, 2025, the National Bank of Ukraine (NBU) declared RVS Bank insolvent. In response, the PrJSC "Transition Bank 'UTE Bank'" was created and officially registered on December 17, 2025, receiving its banking license just a week later, on December 24, 2025. This rapid formation underscores the institution’s active development amid challenging market conditions.

Capital Expansion Plan and Allocation

On July 27, 2026, the bank’s leadership approved a 35.2% increase in authorized capital through an additional share issuance. A total of 103,800 ordinary registered shares, each with a nominal value of UAH 1,000, will be issued exclusively to the sole shareholder, Iute Group AS.

Of the raised capital, 25% is earmarked for upgrading the bank’s information technology infrastructure, while the remaining 75% will be used to purchase domestic government bonds and NBU deposit certificates. This move is part of a broader financial strengthening strategy; earlier in February 2026, the bank had already increased its authorized capital by UAH 293 million.

This capital injection signals the bank’s commitment to bolstering its financial base and adapting to market demands. Investments in IT infrastructure are expected to enhance competitiveness and streamline operations, while the purchase of government securities supports risk management and liquidity in an unstable economic environment.
